Governance Document
1. Purpose
The University of Houston–Downtown (UHD) Nonprofit Alumni Network exists to:
- Engage and connect UHD alumni working in or interested in the nonprofit sector
- Support graduates of UHD’s nonprofit management programs
- Strengthen professional networks among nonprofit leaders and practitioners
- Provide mentorship and career support for current students and recent graduates
- Enhance the visibility and reputation of UHD and its nonprofit programs
The Network serves as a professional and community-building network rooted in shared commitment to the nonprofit sector.
2. Relationship to the University
The Nonprofit Alumni Network operates in partnership with:
- The UHD Alumni Relations Office
- The Department of Social Sciences
- The Master of Arts in Nonprofit Management (MNPM) program
The Group serves in an advisory and supportive capacity. It does not possess legal, fiduciary, or financial authority independent of the University. All activities must align with UHD policies and institutional guidelines.
3. Membership
Membership is open to:
- Alumni who graduated from UHD nonprofit management programs (undergraduate or graduate), and
- Alumni from any UHD program who are currently working in the nonprofit sector or have a demonstrated interest in nonprofit leadership and service.
Members:
- Serve on a voluntary basis
- Receive no compensation
- Are expected to act professionally, ethically, and in the best interest of UHD and the nonprofit community
- Both in person and virtual participation are welcome
There are no mandatory dues unless otherwise determined in coordination with UHD.
4. Leadership Structure
The Network is guided by a Steering Committee composed of volunteer leaders.
- Chair: Provides leadership, presides over meetings, and serves as primary liaison to UHD.
- Vice Chair: Supports the Chair and assumes duties in the Chair’s absence.
- Secretary: Maintains meeting notes and records.
- At-Large Members: Support initiatives, committees, and alumni engagement efforts.
Leadership roles are volunteer positions and are selected by majority consensus of the Steering Committee.
5. Terms of Service
- Steering Committee members serve one-year terms.
- Members may be reappointed or re-elected.
- Leadership roles are reviewed annually.
- Vacancies may be filled by majority vote of the Steering Committee.
6. Meetings
- The Steering Committee will meet at least quarterly.
- Meetings may be held in person or virtually.
- A simple majority of active Steering Committee members constitutes a quorum.
- Additional meetings may be called by the Chair as needed.
7. Decision-Making
Decisions are made by consensus when possible, or by majority vote of members present.
8. Committees
Ad hoc or standing committees may be formed as needed to support alumni engagement, events, communications, or fundraising support.
9. Code of Conduct
Members shall:
- Uphold UHD’s values and reputation.
- Act respectfully and inclusively.
- Avoid conflicts of interest and disclose any potential conflicts.
- Refrain from using the Network for personal or political gain
10. Amendments
This document may be amended by a majority vote of the Steering Committee. Adopted by the UHD Nonprofit Alumni Network Steering Committee, March 2026
